These Terms and Conditions (“Terms”) govern access to and use of the Citobots website and AI chatbot platform (the “Service”) operated by Citobots.com (“Citobots,” “we,” “our,” or “us”). By creating an account or using the Service, you (“Customer,” “you”) agree to be bound by these Terms.
1. Description of Service
Citobots provides a software-as-a-service platform that enables businesses to create AI-powered customer support chatbots trained on their own website content, documents, and business data, deployable across websites, WhatsApp, and other supported channels, with text and audio response capabilities.
2. Account Registration
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must be legally authorized to represent the business for which you register an account.
3. Subscription Plans and Payment
- Subscription fees are set out in the Pricing section of this document and on our website, and may be updated from time to time with reasonable notice.
- Payments are processed securely through our third-party payment processor (Stripe). By subscribing, you authorize recurring charges to your chosen payment method.
- Free trials, where offered, convert to a paid subscription only if you choose to continue after the trial period; no charge occurs without your action, unless otherwise stated at signup.
4. Acceptable Use
- Upload, transmit, or train chatbots on unlawful, defamatory, infringing, or fraudulent content.
- Violate the privacy or rights of any third party, including by processing personal data without a lawful basis.
- Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or underlying infrastructure.• Use the Service to send spam, malware, or unsolicited communications.
- Misrepresent chatbot responses as being from a human where such disclosure is legally required.
You agree not to use the Service to:
5. Customer Content and Data license
You retain ownership of all content, documents, and data you upload to train your chatbot (“Customer Content”). You grant Citobots a limited, non-exclusive license to host, process, and use Customer Content solely to provide and improve the Service for your account. Citobots does not use one customer's Content to train or improve another customer's chatbot.
6. Intellectual Property
The Citobots platform, including its software, branding, and underlying technology, is the property of Citobots and its licensors. These Terms do not grant you any rights to Citobots' trademarks, logos, or proprietary technology beyond what is necessary to use the Service.
7. Third-party Interations
The Service may integrate with third-party platforms, including WhatsApp Business, CRMs, and e-commerce systems. Use of such integrations is subject to the respective third party's own terms and policies, and Citobots is not responsible for the availability or practices of third-party services.
8. Service Availability
Citobots aims to maintain high service availability and targets 99.9% uptime for infrastructure supporting the Service. Specific service-level commitments (SLAs) are available for Business-tier customers under a separate agreement. Scheduled maintenance will be communicated in advance where reasonably possible.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis. AI-generated responses may occasionally be inaccurate or incomplete; Citobots does not guarantee that chatbot responses will be error-free, and Customers are responsible for reviewing chatbot configurations and enabling human escalation for sensitive matters.
10. Limitation of Liability
To the maximum extent permitted by law, Citobots shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Service. Citobots' total liability arising out of these Terms shall not exceed the fees paid by the Customer in the [twelve (12) months] preceding the claim.
11. Indemnification
You agree to indemnify and hold Citobots harmless from any claims, damages, or expenses arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
12. Termination
- You may cancel your subscription at any time through your account dashboard.
- Citobots may suspend or terminate accounts that violate these Terms, with notice where reasonably practicable.
- Upon termination, access to the Service will end, and Customer Content will be deleted or returned in accordance with our Data Security policy.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of [India / State], without regard to conflict of law principles. Any disputes arising under these Terms shall first be addressed through good-faith negotiation and, failing resolution, shall be subject to the exclusive jurisdiction of the courts of [City, India], or resolved through arbitration as set out in a separate agreement, where applicable.
14. Changes to These Terms
Citobots may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated in advance where reasonably possible.
